Vendor Terms & Conditions – Need24 Digital Marketing Agency These Vendor Terms & Conditions (“Agreement”) govern the relationship between Need24 Digital Marketing Agency (“Need24”, “Company”, “we”, “our”) and any individual, freelancer, agency, service provider, or supplier (“Vendor”, “you”, “your”) providing services or products to Need24. By working with Need24, you agree to comply with the following terms. 1. Scope of Engagement Vendors may be engaged for services including but not limited to: Graphic Designing Video Editing & Production Website & App Development Content Writing & Translation Digital Advertising Support CRM, Automation & Technical Services Any other professional services assigned by Need24 The exact scope, timeline, and deliverables will be defined via email, work order, agreement, or project brief. 2. Vendor Eligibility Vendors must be legally eligible to provide services. Vendors confirm they have the required skills, tools, licenses, and experience. Vendors act as independent contractors, not employees of Need24. 3. Payment Terms Payment amount, mode, and timeline will be mutually agreed before project initiation. Payments are released only after approval of final deliverables. Any advance payment, if given, does not guarantee project continuation. Need24 reserves the right to withhold or adjust payment for incomplete, delayed, or substandard work. 4. Work Quality & Revisions Vendors must deliver work as per agreed standards and timelines. Reasonable revisions must be provided without extra cost unless otherwise agreed. Repeated quality issues may lead to project termination without further payments. 5. Confidentiality Vendors must keep all client data, business information, credentials, and internal processes confidential. Confidential information must not be shared, reused, or disclosed without written permission. This obligation continues even after project completion. 6. Intellectual Property Rights All work created by the Vendor for Need24 becomes the exclusive intellectual property of Need24 upon payment. Vendors waive all ownership, resale, or reuse rights unless otherwise agreed in writing. Vendors may not showcase the work publicly without written approval from Need24. 7. Non-Solicitation Vendors must not directly contact, solicit, or work with Need24’s clients during the engagement period and for 12 months after project completion. Violation may result in legal action and financial penalties. 8. Compliance with Laws & Platform Policies Vendors must: Follow applicable laws and regulations. Adhere to platform policies (Meta, Google, YouTube, WhatsApp, hosting providers, etc.). Avoid plagiarism, copyright infringement, or illegal content. Need24 is not liable for issues arising from vendor non-compliance. 9. Deadlines & Delays Vendors must inform Need24 in advance of any potential delays. Uninformed or repeated delays may lead to reassignment of work without payment. 10. Termination Need24 reserves the right to terminate vendor engagement immediately if: Quality standards are not met Deadlines are repeatedly missed Confidentiality is breached Unethical or illegal practices are found No compensation will be provided for terminated work unless approved. 11. Indemnity Vendors agree to indemnify and hold Need24 harmless from any claims, losses, or damages arising from: Copyright violations Plagiarism Legal non-compliance Third-party claims due to vendor actions 12. Limitation of Liability Need24 shall not be liable for indirect, incidental, or consequential damages. Liability, if any, is limited to the agreed project value. 13. Independent Contractor Relationship Nothing in this agreement creates a partnership, employment, or joint venture between the Vendor and Need24. 14. Modification of Terms Need24 may modify these Vendor Terms & Conditions at any time. Continued association implies acceptance of updated terms. 15. Governing Law & Jurisdiction This Agreement shall be governed by the laws of India. Any disputes shall fall under the jurisdiction of Gujarat courts. 16.
